Terms of Service
Effective and last updated: 30 October 2026.
Please read these Terms of Service ("Terms") before using sieraOS. sieraOS is provided by Five Bucks Ventures Pte Ltd, a company incorporated in Singapore ("we", "us"). By using it you agree to be bound by these Terms. If you do not agree, do not use it.
1. Acceptance of terms, and changes
"You" means the company that holds a sieraOS account, and the people it lets in. By using sieraOS you accept these Terms.
We may revise these Terms. For a change that affects your rights, your fees or how we handle your data, we email account Owners at least 30 days before it takes effect. If you do not accept it, you may close your account before then and the earlier Terms apply to you until it takes effect. A change that the law requires may take effect sooner. Using sieraOS after a change takes effect means you accept it.
2. Accounts and access
sieraOS is by invitation. A company's Owner lets people in and decides what each may do. You agree to:
- give accurate and current information, and keep your company's details correct
- keep your login private and not use anyone else's
- treat a personal link as yours alone, and not forward it
- accept responsibility for everything done with the logins you give out
- read the important notices we email to account Owners; we send them to the address on the account
3. Account ownership
An account belongs to one company, or a group of companies, in one country. The Owner controls it. If you register for a company you say you have authority to bind it. A login is personal and cannot be transferred. The account is the company's: a partner firm that invited you, or pays for you, does not own it.
4. Partner firms
A partner firm, such as your accountant or the firm that formed your company, may invite you to sieraOS, or set up and pay for your account on your behalf.
- If you allow it, the partner's people can keep your books in sieraOS, in the Finance screens, and give the first signature on a month's books. They never open the staff list or staff records, payroll, hiring, sales or anything else. The final signature and closing a month stay with your Owner.
- Everything a partner's person does is recorded with their name and their firm's.
- Each person at a partner firm accepts these Terms and the Privacy Notice for themselves.
- A partner firm also has its own agreement with Five Bucks Ventures Pte Ltd. Between us and the partner, that agreement prevails over these Terms. Between you and us, these Terms apply.
- You can end a partner's access at any time.
- We pay a partner a share of what is paid for your account. It does not change your price.
5. Fees, renewal and cancellation
sieraOS is sold at one flat price per company, by plan and optional add-ons, for a month or a year. The price, the plan's limits and the period are shown before you commit. Prices are shown before tax. We charge in Singapore dollars; where Stripe offers it, the price is also shown in your own currency at that day's rate, and your bank may apply its own charges.
At present sieraOS does not add tax to the price at checkout. If tax later has to be charged on your subscription, we tell you before it applies and show it on your invoice. You are responsible for any tax that the law of your country requires you to account for yourself.
- Renewal: a subscription paid by card renews itself at the end of each period, at the price then in force, until it is cancelled. Payments are taken by Stripe and we do not hold your card number.
- Cancelling: the Owner cancels on the Plan and usage page at any time. The cancellation takes effect at the end of the period already paid for; the account stays fully usable until then, and the Owner can resume before it ends.
- If a renewal is not paid: we tell the Owner at once. The account stays fully usable for 7 days after the period ends. If it is still unpaid then, we cancel the subscription and the account is closed: only the Owner can sign in, to export what the account lets them export or to resume by choosing a plan and paying.
- Changing plan or add-ons: the Owner does it on the Plan and usage page, which shows the amount before the Owner confirms. The difference is charged or credited for the rest of the period.
- Price changes: we email account Owners at least 30 days before a new price applies to them. It applies from the next period that starts after the notice. An Owner who does not accept it may cancel before then and pay nothing more.
- When a partner pays: if a partner firm pays for your account and stops, we ask the Owner to pay instead, and the steps above for an unpaid renewal then apply.
6. Refunds and your rights as a customer
If you cancel, you keep access until the end of the period you paid for, and the fee for a period already begun is not refunded, except as this section and the law provide.
If sieraOS does not work as these Terms describe, tell us. We will put it right within a reasonable time or, if we cannot, refund the fees for the part of the period that was affected. If we end your account for a reason that is not your breach, we refund the fees for the period you have paid for but cannot use.
Our services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010). Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded.
Where the law allows us to limit our liability for failing to meet a consumer guarantee, we limit it, at our choice, to supplying the service again or paying the cost of having it supplied again.
7. Your data
What you and your people put into sieraOS is yours.
- We use it only to provide sieraOS to you, as set out in these Terms and the Privacy Notice.
- The Owner can export sent invoices, the profit and loss and balance sheet, and a year of attendance, while the account is open and after it closes. For other records, ask us and we will give you a copy.
- You are responsible for having the right to put other people's information into sieraOS: your staff, your candidates, your clients and their contacts. The Privacy Notice says what you must tell them.
- Your records are stored in Singapore. Some processing, such as AI reading and email, happens elsewhere; the Privacy Notice names each provider and its country.
8. Processing personal data for you
Where you put other people's personal data into sieraOS, you decide why and how it is used and we process it for you, as your service provider handling personal information on your behalf. This section is our data processing agreement with you and applies when you accept these Terms.
- Your instructions: we process that data only to provide sieraOS, on your instructions given through the product, these Terms and your written requests. We tell you if we think an instruction would breach the law.
- Confidentiality: everyone at our end who can reach the data is bound to keep it confidential.
- Security: we keep the measures the Privacy Notice describes, and keep each company's records separate from every other's.
- Sub-processors: you authorise the providers named in the Privacy Notice. We bind each by contract to protect the data to the same standard, we remain responsible for them, and we email Owners at least 30 days before a new one starts. An Owner who objects may close the account. A partner firm you have linked reads your data only because you linked it, and only within the access in section 4; it is not one of these providers.
- Breach: if we confirm a breach of security that affects that data, we tell the Owner without undue delay and no later than 48 hours after we confirm it, with what you need to tell your regulator and the people affected.
- Helping you: we give reasonable help with requests from the people the data is about, and with questions from a regulator.
- Transfers: you authorise the transfers to the countries named in the Privacy Notice. We rely on contracts with those providers that require them to protect the data.
- Return and deletion: when the account ends, the Owner can take what the product lets them export and can ask us for a copy of the rest. Nothing is deleted automatically: on the Owner's request we erase the account by hand, and not before the periods the law sets for the company's records. We keep what the law requires us to keep.
- Showing compliance: we give you the information you reasonably need to check we meet this section, and we allow one audit a year on reasonable written notice, at your cost.
9. Automated reading
sieraOS uses an AI model to read CVs, to transcribe and score candidates' recorded answers, and to read supplier invoices from a mailbox you connect. It runs only on an OpenAI key that the Owner connects. The key and the agreement with OpenAI are the Owner's; OpenAI is an independent provider under that agreement. The text and audio that are read are sent to OpenAI in the United States for that purpose.
A reading is a proposal. A named person in your company confirms it. sieraOS does not reject a candidate, approve an invoice, run a payroll or confirm a payment by itself.
10. What sieraOS is not
sieraOS is not tax, legal, accounting or employment advice. Payroll and tax figures are worked out from the rates and the details you and we hold, and you remain responsible for what you file and pay. It does not pay anyone, file returns for you or post job adverts, unless a screen says it does.
11. Prohibited activities
You may not:
- use another company's data, or try to reach an account that is not yours
- scrape, extract or compile data without permission
- bypass security features
- mislead, harass, impersonate or abuse other users or our team
- transmit malware or spam
- put in material you have no right to, or resell sieraOS without our agreement
- break any local or international law while using sieraOS
12. User representations
By using sieraOS you state that:
- the information you give is accurate and kept up to date
- you have the legal authority to agree to these Terms for your company
- you will not use bots or scripts to reach sieraOS other than through what we provide
- your use is lawful and does not infringe anyone's rights
13. Intellectual property
The software, designs, text and trademarks of sieraOS are owned by or licensed to us. We license them to you for your use of the service only. No part may be copied, modified or exploited without our written permission.
14. Availability and changes
We work to keep sieraOS available and tell you of planned interruptions where we can. We change it over time, and we tell account Owners before a change that removes something they rely on. We do not promise it is free of errors, and we are not responsible for interruptions due to events beyond our control.
15. Suspension and termination
You can close your account at any time, as section 5 says.
We may suspend an account that seriously breaks these Terms or the law. We tell you first and give you a reasonable time to put it right where that is possible. We suspend without notice only where the law requires it or where continuing would put the security of other accounts at risk, and then we tell you as soon as we can and restore the account once the cause is resolved.
We may end your account if a serious breach is not put right in that time. Closure for an unpaid renewal is the only automatic one, and section 5 describes it. After an account ends, your data is handled as section 8 says.
16. Our promise, and its limits
We provide sieraOS with due care and skill. Subject to the next sentence, we give no other warranty: we do not warrant that the service will be uninterrupted or error-free, that results will be accurate for your purposes, or that files are free of viruses. Nothing in this section excludes, restricts or modifies a guarantee, warranty or condition that cannot be excluded under the Australian Consumer Law or any other law.
17. Limitation of liability
Neither of us is liable to the other for indirect or consequential loss, such as lost profits. Loss or corruption of your data caused by our breach of these Terms is not treated as indirect loss.
Our total liability to you for all claims arising in any period of 12 months is limited to the fees paid or payable for your account for the 12 months before the event, whoever pays them: you or a partner firm. If the account is newer than that, the limit is the fees payable for its first 12 months.
These limits do not apply to liability for fraud, wilful misconduct or gross negligence, for death or personal injury, or to any liability that the law does not allow to be limited.
18. Indemnification
You agree to indemnify us against claims by third parties, and the damages and reasonable legal fees that result, to the extent they arise from information you put into sieraOS without the right to, or from your use of sieraOS in breach of these Terms or the law. We tell you of the claim promptly, and you may conduct the defence with our reasonable help; we do not settle it without your agreement.
19. International use
We make no representation that sieraOS is available or lawful in every country. You are responsible for complying with local law, and access from a place where it is not permitted is at your own risk.
20. Governing law and disputes
These Terms are governed by the laws in force in the Australian State or Territory where your company has its registered office, and the courts of that State or Territory have non-exclusive jurisdiction over disputes arising under them.
Before starting proceedings, each of us will write to the other and try in good faith to resolve the matter for 30 days.
21. Language
These Terms and the Privacy Notice are written in English. A translation is for convenience, and where it differs from the English text, the English text prevails.
22. Notices
Official notices may be sent by email or posted in sieraOS. You can write to us at legal@fivebucks.ai.
23. Entire agreement and miscellaneous
These Terms and the Privacy Notice are the whole agreement between you and us, and replace any earlier agreement or communication. A change to them is made as section 1 sets out; any other change must be in writing and signed by both of us. If we do not enforce part of these Terms, we may still enforce it later. If a provision is found invalid, the rest stays in effect. Neither of us may assign our rights under these Terms without the other's consent, except that we may assign them to the buyer of the business on notice to you, and you may then close your account and receive a refund of fees for the period you cannot use.
